Loyens & Loeff, together with Bolze Associés (Paris), advised VINCI Energies SA on the acquisition of the ICT division from Royal Imtech N.V. for a consideration of EUR 255 million (enterprise value), announced on 26th August 2014. The transaction remains subject to competition clearance and customary closing conditions and is expected to close before the end of the year.

The ICT division generates annual revenue of about EUR 740 million in the Benelux countries, Germany, Austria, Sweden and the United Kingdom, and this acquisition would significantly broaden VINCI Energies’ range of telecommunications products and services and its position in the ICT sector. According to VINCI Energies, the transaction would raise VINCI Energies' volume of activity in the telecommunications field to EUR 1.6 billion, i.e. more than 15% of its consolidated revenue, and give it comprehensive, consistent coverage, particularly in the most buoyant segments, across the entire telecommunications market, from the operator to the user and from infrastructure to the Cloud and the Data Centers.

Operating in about 50 countries, including some 30 outside Europe, VINCI Energies generated revenue of EUR 9.25 billion in 2013 and employs 63,000 people. Thanks to its close-knit network of 1,500 business units, VINCI's Energy business line is now a leading provider of energy and information technology services in Europe and throughout the world.

Advisors to VINCI Energies:

The Loyens & Loeff team consisted of Ewout Stumphius (lead), Sophie van Engelen, Jan-Berend Möller, Rianna Dekkers, Steven Callens, Godfried Ampe, Edward de Lange, Bas Dieleman.

The Bolze Associés team was led by Eric Bolze.
